Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Finio Solutions S.A.R.L ("Wasla City", "we", "us", or "our"), governing your access to and use of the Wasla City mobile application, website, and related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or through the app. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age (or the legal age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding contract
• Not be barred from using the Services under applicable law
• Register for an account with accurate and complete information

By using our Services, you represent and warrant that you meet all of the foregoing eligibility requirements. If you are using the Services on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms.

3. Account Registration and Security

To access most features of our Services, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update this information promptly if it changes.

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:

• Notify us immediately of any unauthorized access to or use of your account
• Ensure that you log out of your account at the end of each session
• Not share your account credentials with any third party
• Not transfer or sell your account to another person

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with any provision of these Terms.

4. Services Description

Wasla City operates a technology platform that connects passengers seeking transportation services with independent third-party drivers and transport providers ("Drivers" or "Providers"). We do not provide transportation services directly and are not a transportation carrier.

Our Services include:

• Small taxi ride-hailing services within cities
• Big taxi (inter-city shared taxi) booking services
• Bus route information and ticket booking
• Real-time tracking and navigation features
• In-app payment processing
• Ratings and feedback systems

You acknowledge that we act as an intermediary and that any transportation service agreement is formed directly between you and the Driver or Provider.

5. User Conduct

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable local, national, or international law or regulation
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
• Use the Services to transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services
• Use any robot, spider, or other automatic device to access the Services for any purpose without our express written permission
• Introduce any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material
• Harass, abuse, or harm another person, including Drivers and other passengers
• Damage the vehicle or property of Drivers or third parties
• Use the Services while under the influence of alcohol or drugs

6. Driver Requirements and Conduct

Drivers using our platform must:

• Hold all required licenses, permits, and authorizations to operate a vehicle for hire in their jurisdiction
• Maintain valid vehicle insurance and registration
• Ensure their vehicle meets all applicable safety and quality standards
• Comply with all applicable traffic laws and regulations
• Maintain a professional and courteous demeanor at all times
• Not discriminate against passengers on the basis of race, religion, national origin, disability, sex, gender identity, sexual orientation, or any other protected characteristic

7. Payments and Fees

Fares for transportation services are calculated based on factors including distance, time, demand, and applicable fees. The estimated fare is displayed before you confirm a ride request.

By using our Services, you agree to pay all applicable fees and charges, including:

• The fare for the transportation service
• Any applicable booking or service fees
• Tolls, airport fees, or other third-party charges
• Cancellation fees as specified in our cancellation policy
• Any cleaning or damage fees if you cause damage to a vehicle

Payment can be made via cash or through our in-app payment methods. All payments processed through the app are handled by third-party payment processors. You agree to provide valid payment information and authorize us to charge your selected payment method.

8. Cancellations and Refunds

You may cancel a ride request before the Driver arrives at the pickup location. Cancellation fees may apply depending on the timing of the cancellation and the Driver's proximity to the pickup location.

If a Driver cancels a ride after accepting it, you will not be charged a cancellation fee. Refunds for disputed charges will be evaluated on a case-by-case basis and may be issued at our sole discretion.

9. Ratings and Reviews

Our platform allows passengers and Drivers to rate and review each other after completed trips. You agree to:

• Provide honest and accurate feedback
• Not include offensive, defamatory, or inappropriate content in reviews
• Not manipulate or attempt to manipulate ratings
• Not offer or accept compensation in exchange for positive reviews

We reserve the right to remove any review that violates these guidelines or our content policies.

10. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Wasla City, its licensors, or other providers and are protected by Moroccan and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected
• The quality of any products, services, information, or other material obtained through the Services will meet your expectations

You acknowledge that we are a technology platform and not a transportation provider. We do not guarantee the quality, safety, or legality of the transportation services provided by Drivers.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WASLA CITY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Wasla City, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your violation of any rights of a third party, including Drivers
• Your violation of any applicable laws or regulations

14. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good faith negotiations. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Tetouan, Morocco, in accordance with the rules of the Moroccan Center for Arbitration.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent possible, and the remaining provisions of these Terms will continue in full force and effect.

17. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Wasla City regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning their subject matter.
